What is a Distribution Agreement?
A Distribution Agreement is a legal contract between a Supplier (manufacturer or vendor) and a Distributor. It grants the Distributor the right to buy, market, and resell the Supplier's products in a specific region.
Unlike an agency agreement where the agent acts on behalf of the principal, a distributor typically buys the products and takes the risk of selling them.
Is it Regulated in the UAE?
Crucial Note: If a distribution agreement is registered with the Ministry of Economy, it falls under the UAE Commercial Agency Law.
This law provides significant protection to the distributor, making it extremely difficult for the supplier to terminate the agreement or appoint a new distributor without paying substantial compensation.
What Crucial Information Does It Cover?
Our template helps you define clear boundaries:
1. Territory & Exclusivity
Defines the exact geographic area (e.g., "Dubai only" vs "Entire UAE") and whether the distributor is the sole seller there.
2. Minimum Sales Targets
Sets quotas the distributor must meet to keep their exclusivity or the agreement itself.
3. Payment & Pricing
Clarifies when the distributor must pay for goods and if there are restrictions on resale prices (subject to competition laws).
4. Products List
Clearly lists which products are included, preventing automatic rights to future product lines.
Risks of Non-Compliance
"For Life" Trap
Careless drafting can inadvertently create a registered agency relationship that you cannot easily exit.
Dead Stock
Without clear return policies, distributors might refuse to pay for unsold or expired inventory.
Parallel Imports
Other sellers might import your product from cheaper markets if you don't have strong control over your supply chain.
