What is a Digital Asset Agreement?

This agreement governs the purchase, sale, or transfer of a digital asset (such as an NFT, token, or virtual land). It defines exactly what the buyer is getting.

A common misconception is that buying an NFT gives you copyright over the artwork. Usually, it doesn't—unless this agreement specifically says so.

Virtual Assets Regulation

The UAE classifies these as "Virtual Assets." Both regulation by VARA and federal laws apply.

For high-value transfers, having a written agreement (outside of just the smart contract code) provides legal recourse in UAE courts if the asset turns out to be fake, stolen, or different from described.

What Crucial Information Does It Cover?

It bridges the gap between code and law:

1. IP & Commercial Rights

Can the buyer put the NFT image on t-shirts and sell them? Or is it for personal display only?

2. Royalties

Stipulates if secondary sale royalties (e.g., 5%) are legally enforceable even if the nft marketplace doesn't honor them.

3. Warranties of Authenticity

The seller guarantees they actually created the asset and it infringes no one else's copyright.

4. Disclaimer of Value

The buyer acknowledges that crypto assets are volatile and can go to zero.

Risks of Non-Compliance

Copyright Lawsuits

Selling an NFT without clearing underlying rights (e.g., using a Nike logo) gets you sued.

Frozen Wallets

If the asset is linked to money laundering, receiving it can taint your entire wallet.

Platform De-listing

Marketplaces like OpenSea will remove assets that don't have clear provenance or legal standing.
